1. Agreement to Terms

By accessing or using the website at https://oyefilmy.com, APIs, developer SDKs, or native extension plugins (collectively, the “Service”), operated by M/s. X DOT AI(“OyeFilmy”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions. If you do not agree to all of these terms, you may not access or use our Service.

2. Description of Services

OyeFilmy provides an AI-powered creative production platform and API infrastructure offering synthetic generation for images, video, voice, audio, and 3D assets. Services are accessed via web applications, desktop plugins, Model Context Protocol (MCP) servers, and REST APIs.

3. Accounts & Registration

To use certain features, you must register for an account. You agree to provide accurate, complete information during registration and keep your account credentials secure. You are responsible for all activities that occur under your account or API keys.

4. Subscriptions, Credits & Payment Terms

• Credit Billing: Platform operations are billed from a single unified credit wallet using pre-purchased subscription plans or top-up credit packs.
• Payment Processing: Payments are securely processed via Razorpay. By initiating a purchase, you authorize Razorpay and M/s. X DOT AI to charge your designated payment method for the full transaction amount.
• Validity: Subscription credits remain active during the valid subscription period or billing cycle. Unused credits expire upon plan cancellation or expiration unless renewed.

5. Intellectual Property & Generated Content

Subject to your compliance with these Terms, you retain ownership of all prompts, inputs, and generated media outputs created using your active OyeFilmy account. OyeFilmy assigns to you all right, title, and interest in and to output assets generated on your account.

6. Acceptable Use & Content Policy

You agree not to generate, upload, or transmit any content that:

• Is unlawful, harmful, defamatory, or violates any third party’s intellectual property or privacy rights.
• Promotes hate speech, explicit violence, non-consensual imagery, or illegal activities.
• Attempts to reverse-engineer, exploit, or bypass system rate limits or credit deduction security systems.

Violations of our Acceptable Use policy will result in immediate account suspension without refund.

7. User Responsibility for Generated Content

OyeFilmy is a platform that provides access to third-party artificial intelligence models. It is not the author, publisher, or reviewer of the content generated through it. You, the user submitting the prompt, input, or reference material, are solely and exclusively responsible for the content you generate, store, download, publish, distribute, or otherwise use.

• No pre-screening: Generated output is produced automatically by third-party models. We do not review, verify, moderate, approve, or endorse output before it is delivered to you, and we make no representation that any output is accurate, original, non-infringing, or fit for any purpose.
• Your inputs, your rights: You represent and warrant that you hold all necessary rights, licences, consents, and permissions for every prompt, image, video, audio file, likeness, trademark, or other material you upload or reference, and that your use of them does not infringe any third party’s rights.
• Your use, your risk: You are responsible for determining whether output is lawful and appropriate for your intended use, and for complying with all applicable laws, advertising standards, disclosure requirements, and platform rules in your jurisdiction.
• Likeness and identity: You must not generate content depicting a real, identifiable person without their consent, and you are solely responsible for obtaining that consent where required.

8. Model Provider Policies

OyeFilmy routes generation requests to third-party AI model providers. Our content and usage policy is aligned with, and subject to, the policies of the underlying model provider used for a given generation. By using the Service, you agree that:

• The applicable model provider’s acceptable use policy, content policy, safety filters, and output licence terms apply to any output generated with that model, in addition to these Terms.
• Where a model provider’s policy is more restrictive than ours, the more restrictive policy governs your use of that model.
• Model providers may independently refuse, filter, block, or modify a generation in accordance with their own safety systems. Such refusals are the provider’s decision and are not within our control.
• Model providers may change, deprecate, or withdraw their models, policies, or pricing at any time, and we may accordingly change, substitute, or remove a model from the Service.
• OyeFilmy accepts no liability arising from a model provider’s policies, decisions, availability, output, or changes to any of them.

9. Indemnification

You agree to indemnify, defend, and hold harmless M/s. X DOT AI, OyeFilmy, and their respective directors, officers, employees, contractors, agents, licensors, service providers, and affiliates (together, the “Indemnified Parties”) from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, penalties, fines, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Any content you generate, upload, store, download, publish, distribute, transmit, or otherwise use through the Service;
• Your prompts, inputs, uploaded materials, reference images, or trained models, including any claim that they infringe or misappropriate a copyright, trademark, patent, trade secret, right of publicity, moral right, or privacy right;
• Your breach of these Terms, of the Acceptable Use policy, or of any applicable model provider’s policy;
• Your violation of any applicable law or regulation, or of the rights of any third party;
• Your use of output in advertising, marketing, publication, broadcast, resale, or any commercial context;
• Any activity conducted under your account or API keys, whether or not authorised by you;
• Where you resell, white-label, or otherwise make the Service available to your own clients or end users, any claim brought by or in respect of those clients or end users.

This indemnity survives termination of your account and of these Terms. We reserve the right, at your expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defence of that claim.

10. Disclaimer of Warranties

The Service and all output are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that any specific model will remain available, or that output will meet your requirements or be free of third-party claims.

11. Limitation of Liability

To the maximum extent permitted by applicable law, M/s. X DOT AI and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Service or to any content generated through it, whether based in contract, tort, negligence, strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the total amount you actually paid to us in the three (3) months immediately preceding the event giving rise to the claim.
